Robinsons Retail to delist from PSE following completion of JE Holdings’ tender offer

In a disclosure to the Philippine Stock Exchange (PSE) last Tuesday, July 7, Robinsons Retail Holdings, Inc. (RRHI) reported that the tender offer made by its majority shareholder, JE Holdings, was successfully competed during the period of May 25 to July 6.

The group noted that the tendered shares by shareholders accepted by JE Holdings was 229,579,555 common shares — far exceeding the 179,557,573 common shares required to attain the minimum threshold of 95% for the company’s voluntary delisting.

Thus, JE Holdings, together with the other proponents of the delisting will collectively own 1,062,359,590 common shares, which represents a total of 99.69% of the RRHI’s issued and outstanding capital stock.

This will decrease the company’s public float to just 0.31%, with the next step being the approval of the PSE for the voluntary delisting of the RRHI’s common shares.

Furthermore, it also noted that the successful results of the tender offer, as well as the Philippine Competition Commission’s (PCC) confirmation that the transaction is not subject to compulsory notification, Robinsons Retail said that it expects its tendered sharws go he crossed on the stocked exchange on July 13, with settlement on July 15.

RRHI President and CEO Stanley Co noted, “We are grateful for the trust and support our shareholders have shown RRHI over the years, and for their engagement throughout this process.”

While we embark on a new chapter, our commitment to being the retailer of choice in the Philippines is unchanged,” he stressed. “As we look ahead, we remain focused on strengthening our operations, pursuing long-term priorities, and driving sustainable growth.”

For her part, RRHI Chairman Robina Gokongwei-Pe expressed, “On behalf of the Board and the RRHI management team, I thank our shareholders for their confidence and partnership throughout RRHI’s time as a publicly listed company.

Your unwavering support has been instrumental in shaping our growth and success, and it has been our privilege to have shared this journey with you,” she added.

It was back in March when RRHI announced its move to voluntarily delist from the stock exchange by way of JE Holdings and its co-proponents acquiring the shares not beneficially held via the said tender offer.

At that time, Co said that then-proposed tender offer and voluntary delisting provides RRHI shareholders with a “meaningful exit opportunity.” 

While management remains confident in RRHI’s long-term prospects, the Company’s share price has not fully reflected its intrinsic value. Given current market conditions and macroeconomic uncertainties, it may take time before valuations realign with fundamentals,” he furthered.

The disclosed tender offer price of JE Holdings was at PHP48.30 per share, supported by an independent valuation report and fairness opinion from FTI Consulting Philippines, Inc.

The tender offer price represents a 32.23% premium over the 1-year volume-weighted average price (VWAP) as of March 26, 2026 of P36.5285,” RRHI also noted at that time.
